Terms & Conditions — FabricBazaar

1. Acceptance of Terms

By placing an order, submitting an inquiry, or doing business with FabricBazaar, you agree to these Terms & Conditions in full. If you do not agree, please refrain from engaging with our services.

2. Business Nature

FabricBazaar operates strictly as a Business-to-Business (B2B) textile supplier. We supply fabrics exclusively to registered businesses, traders, wholesalers, retailers, garment manufacturers, and exporters. We do not cater to individual end consumers.

3. Orders & Minimum Order Quantity

• All orders are subject to a Minimum Order Quantity (MOQ) as specified per product or fabric category.
• Orders below MOQ will not be processed unless prior written agreement is made.
• All orders must be confirmed in writing via email or WhatsApp before processing begins.
• FabricBazaar reserves the right to accept or reject any order at its discretion.

4. Pricing

• All prices are quoted in Indian Rupees (INR) unless stated otherwise.
• Prices are subject to change without prior notice due to raw material costs, market fluctuations, or currency changes.
• Quoted prices are valid for 48 hours from the date of quotation unless stated otherwise.
• GST and applicable taxes will be charged separately as per government regulations.

5. Payment Terms

• Payment terms are agreed upon at the time of order confirmation.
• Standard terms: 50% advance, 50% before dispatch unless a credit agreement is in place.
• FabricBazaar does not offer credit to new buyers until a minimum of 3 successful transactions are completed.
• Payments must be made via bank transfer, UPI, or other approved methods. Cash payments above ₹2,000 are not accepted per Indian regulations.
• Delayed payments may attract interest at 2% per month on the outstanding amount.

6. Samples

• Sample requests are entertained subject to availability.
• Sample fabric may be provided at a nominal charge plus courier cost.
• Sample approval must be communicated in writing before bulk production or dispatch begins.
• FabricBazaar is not liable for bulk order dissatisfaction if the buyer did not request or approve a sample.

7. Delivery & Shipping

• Delivery timelines are estimated and not guaranteed unless explicitly committed in writing.
• FabricBazaar is not responsible for delays caused by courier partners, natural events, strikes, or circumstances beyond our control.
• Risk of goods passes to the buyer upon handover to the courier/transporter.
• Shipping charges are borne by the buyer unless stated otherwise in the quotation.

8. Quality & Inspection

• All fabrics undergo internal quality checks before dispatch.
• Buyers are advised to inspect goods within 48 hours of delivery.
• Claims for visible defects, wrong material, or short quantity must be raised within 48 hours of receipt with photographic evidence.
• Claims raised after 48 hours will not be entertained.
• Natural variations in texture, shade, or weave inherent to fabric are not considered defects.

9. Returns & Replacements

• Returns are accepted only for manufacturing defects confirmed by our quality team.
• Fabric that has been cut, washed, processed, or altered in any way is not eligible for return.
• Approved returns will be replaced with the same fabric or equivalent. Refunds are issued at our discretion.
• Return shipping cost is borne by the buyer unless the defect is confirmed to be on our end.

10. Cancellations

• Orders once confirmed and in production cannot be cancelled.
• Cancellation of confirmed but unprocessed orders must be requested in writing and is subject to a 15% cancellation fee on order value.
• Custom dyed, printed, or made-to-order fabrics cannot be cancelled once production begins.

11. Intellectual Property

• All designs, prints, and patterns created exclusively for a buyer remain the intellectual property of FabricBazaar unless a written IP transfer agreement is signed.
• Buyers may not reproduce, resell, or share proprietary designs without written consent.

12. Confidentiality

• Both parties agree to keep pricing, trade terms, and business discussions confidential.
• FabricBazaar will not share your business information with third parties without consent, except where required by law.

13. Limitation of Liability

• FabricBazaar's liability is limited to the value of the goods supplied in the relevant transaction.
• We are not liable for any indirect, consequential, or incidental losses arising from the use or resale of our products.

14. Governing Law & Disputes

• These terms are governed by the laws of India.
• Any disputes shall first be attempted to be resolved through mutual discussion.
• If unresolved, disputes will be subject to the jurisdiction of courts in Surat, Gujarat.

15. Amendments

FabricBazaar reserves the right to update these Terms & Conditions at any time. Continued business with us after changes constitutes acceptance of the revised terms.
